ABOUT THE ROLE
We have a permanent, part-time (21 hours per week ) opportunity available in our Haymarket Office.  The role reports into our General Manager, Finance and Corporate Services and has one direct report.

As our General Counsel and Company Secretary you will be responsible for providing strategic and commercial legal advice to the Board, CEO, Executive team and the broader business, as well as managing external and internal compliance reporting including internal audit. The role will also take full oversight and management of the company secretary function at Bridge Housing.

You will be responsible for: 

  •  provision of high calibre strategic commercial legal advice in respect of all business transactions including asset acquisitions
  • strategic management and balancing of business risk and commercial requirements ensuring that the Board and Risk & Audit Committee are informed of any and all material risk issues at all times
  • draft, review and negotiate all forms of contracts and other legal documentation
  • all external legal service providers ensuring cost requirements and service level agreements are achieved
  •  preparation and reviewing of legal documents such as contracts, agreements to mitigate risk to Bridge Housing
  • providing advise on business transactions, claims liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations
  • review of key corporate documents for accuracy, including annual report, strategic and business plans.
  • liaise with the Chair and the CEO to settle annual calendars and agendas for meetings of the Board of Directors and sub committees and for the Annual General Meeting
  • take minutes for all Board, and  Committee meetings and draft circular resolutions as required
  • preparation and submission of appropriate documentation for ACNC, ASIC and similar organisation
  • manage the internal audit process, including developing audit briefs, preparation of materials and meetings.

PLEASE RESPOND TO THE FOLLOWING ESSENTIAL CRITERIA IN YOUR APPLICATION LETTER:

  • Bachelor of Laws, preferably with property and/or community housing experience.
  • Experience in company secretariat functions.
  • Experience in managing internal audit, compliance and reporting functions.
  • Knowledge of federal, state and local laws and regulatory frameworks applicable to business operations.
  • Demonstrated leadership success working at a management level, developing and maintaining a positive work culture and driving team performance.

SALARY 
The salary for the role is $150,000 (pro rata) + Super + Salary Packaging.
