Head of Legal/Company Secretary


About the role:

This role will lead the strategic and operational legal frameworks for NobleOak, providing expert legal advice to senior stakeholders while owning the important Company Secretary function.  This role will support and guide the Board and Senior management on compliance obligations as well as prepare minutes for all Board and committee meetings and governance matters. It will work closely with the board, executive and senior leadership teams, gaining exposure to business operations and strategy development, business planning and execution, and corporate governance issues.

Other key responsibilities:

  • Provide specialist Corporate Legal advice to all areas of the business and coordinate external legal advice as required. 
  • Provide legal sign off across NobleOak, including for contracts, marketing materials, website materials, proposals and tenders.
  • Provide advice and support to the Board and Executive on ASX, ASIC and other regulatory compliance obligations.
  • Ensure the Board and Committee schedules are maintained with effectiveness and transparency. Be the point of contact for all communications with NobleOak Board of Directors including committee attendance and minutes, agenda coordination and paper preparation.
  • A key contributor to the fortnightly Risk and Compliance meetings and ongoing activities, to ensure we are always fully compliant with regulatory bodies.
  • Support the NobleOak team through adhoc project management as required.

About You:

  • Tertiary qualification in Law and strong legal knowledge.
  • Experience in financial services or life insurance industry (regulatory, transactional or prior experience) beneficial but not essential to performing this role
  • Demonstrated experience advising Executives/Board of Directors on matters of governance, compliance and best practice.
  • Demonstrated experience with corporate policymaking and interpretation of complex legislation/regulations.
  • Very strong Company Secretarial skills – ideally in an ASX listed environment.
  • High level of confidentiality, discretion and judgment.
  • Demonstrated ability to build and maintain trust with management and Boards.
  • Professional conduct and demeanour.
  • Highly effective communication skills.
